2. Terms & Conditions
2.1 Payment & Late Fees
All invoices are due within 15 days of issuance. Late payments will incur a 1.5% per month late fee or a $50 flat fee, whichever is greater.
BI Studio reserves the right to suspend services if payments are not received within 30 days from the invoice date.
2.2 Scope of Services & Additional Work
The services covered by this SLA are limited to those explicitly listed in the agreement.
Any additional work outside of the agreed scope (e.g., emergency fixes, feature enhancements) requires written approval and will be billed at an hourly rate of $175 per hour for off-hours/emergency support.
2.3 Limitation of Liability & Indemnification
BI Studio is not responsible for any damages, including but not limited to lost profits, data loss, or business disruptions due to security breaches, software malfunctions, or third-party issues.
The client agrees to indemnify and hold BI Studio harmless from any claims, damages, or losses arising from the use of the client’s website or third-party services.
2.4 Termination & Notice Requirement
Either party may terminate this agreement with 30 days’ written notice. Termination prior to this notice period will require payment for the upcoming month’s fees.
BI Studio reserves the right to terminate this agreement immediately in cases of non-payment or breach of contract terms by the client.
2.5 Intellectual Property & Data Ownership
BI Studio retains ownership of any proprietary tools, scripts, or methodologies used in the performance of its services.
The client is responsible for maintaining backups of their website data. BI Studio’s backup services, if provided, are an additional offering and not included in the standard SLA unless otherwise agreed.
2.6 Force Majeure Clause
BI Studio is not liable for service delays or failures resulting from events beyond its reasonable control, including but not limited to cyberattacks, natural disasters, internet failures, or government actions.
2.7 Dispute Resolution & Governing Law
In the event of a dispute, both parties agree to first attempt to resolve the matter through mediation. If mediation fails, disputes will be resolved through binding arbitration in the Commonwealth of Massachusetts.
This Agreement shall be governed by and construed under the laws of the Commonwealth of Massachusetts.
